LDN Investor Non-Disclosure Agreement

Purpose: LDN agrees to provide the Investor with access to confidential information relating to land opportunities, development plans, valuations, partnerships, and financial projections for the sole purpose of evaluating a potential investment or collaboration.

Definition of Confidential Information: “Confidential Information” includes, but is not limited to:

Deal summaries and detailed project documents
Site plans, maps, valuations, and planning strategies
Internal communications, strategies, or financial data
Any materials marked “confidential” or shared within the investor portal

This NDA does not cover information that:
a) is publicly known at the time of disclosure,
b) becomes public through no breach by the Investor,
c) is received lawfully from a third party without restriction, or
d) is independently developed by the Investor without use of LDN’s materials.

Obligations of the investor: The Investor agrees to:

Keep all Confidential Information private and secure
Not share, reproduce, forward, or publish any information received
Only use the information to evaluate investment opportunities with LDN
Notify LDN immediately in case of any unauthorised disclosure

Term: This agreement remains in effect for 24 months from the Effective Date or until the Confidential Information becomes public by lawful means.

No obligation to proceed: Nothing in this agreement obligates either party to enter into a transaction or investment. All materials are provided for information purposes only.

Governing Law: This Agreement shall be governed by the laws of Scotland.

NDA Acknowledgement *

I confirm that I have read and understood the above Non-Disclosure Agreement and agree to be legally bound by its terms. I understand that all materials and communications shared by LDN are confidential and are provided solely for the purpose of evaluating investment opportunities.
